These Terms of Service (“Terms”) are an agreement between you and Keyword Tool Ultimate (“we”, “us”), a keyword research service operated by an individual, governing your access to and use of our website and keyword research service (the “Service”). By creating an account or using the Service, you agree to these Terms.

1. The Service

Keyword Tool Ultimate provides keyword research data, including search volume, trends, cost-per-click, competition and related metrics, sourced from third-party data providers including Google Ads data via DataForSEO. The Service requires a paid subscription to access full results.

2. Accounts

You must provide accurate information when creating an account and are responsible for keeping your login credentials secure and for all activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

3. Subscriptions & billing

Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe. Subscriptions renew automatically at the end of each billing period unless canceled beforehand. You can cancel at any time from your account; cancellation takes effect at the end of the current paid period. Prices may change with prior notice; changes do not affect the period you have already paid for.

5. Acceptable use

You agree not to:

• resell, redistribute or sublicense the data or Service without our written permission;
• scrape, overload or attempt to circumvent rate limits, access controls or billing;
• share your account credentials with, or let your account be used by, other people;
• use the Service for any unlawful purpose or to infringe the rights of others.

6. Data accuracy

Search volume and related metrics are estimates provided by third-party sources, including Google. No keyword tool can guarantee exact search volumes or future traffic. We provide the most reliable data available to us, but we do not warrant that it is complete, accurate or error-free, and you use it at your own discretion.

7. Intellectual property

The Service, including its software, design and branding, is owned by us and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with these Terms and your plan.

8. Disclaimers & limitation of liability

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential damages, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

9. Suspension & termination

We may suspend or terminate your access if you breach these Terms or use the Service in a way that harms us or other users. You may stop using the Service at any time by canceling your subscription.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in the app. Continued use after changes take effect means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
